BIOGRAPHY
Mr. Yao Rao started practicing in 2002. Before joining HHP, Mr. Rao worked for Haarmann Hemmelrath Partners and Salans.
Mr. Rao has been providing legal services for the M&As by multinational companies in China, especially specialized in providing solutions for the M&As in the highly regulated industries (such as medical device, medical institution, medical packaging, nutrition food and mining). He also represents a great number of multinational companies to set up their foreign-invested companies or other commercial presences in China, and provides legal consultation in the areas of commercial contract, compliance, labor, competition, tax, foreign exchange, customs, environment protection and anti-monopoly.
Mr. Rao provides comprehensive labor law service for many multinational companies including Bekaert, Blum, Delphi, Huntsman, Mary Kay, Ikea, CH2M and SMA. He also has rich experience in providing legal services for industrial construction projects.
REPRESENTATIVE MATTERS
M&A and Restructuring
- Represented GfK, the global second largest market research group, to acquire a domestic competitor;
- Represented Lautan Luas to acquire the joint-salt production and mining rights from Jiangsu Yingzhu group;
- Represented Dynapack to acquire the packaging material production business of Ball Asia in Beijing and Tianjin;
- Represented Schott to acquire the medical packaging business of Zhejiang Xinkang ;
- Represented MedTech in the sales of medical connection cable business to Carlisle;
- Represented a U.S. Fortune 500 conglomerate to acquire a medical institution and establish a joint venture medical institution with social insurance reimbursement qualification.
FDI and Corporate
- Advised multinational companies to set up wholly foreign-owned or joint venture companies in China, with the industry sectors including equipment manufacturing, distribution, resale, exhibition, financial leasing, automobile financing, commercial service, consulting, certification and verification, medical device, medical institution, medical packaging, nutrition food and restaurant, and provided them with corporate legal services;
- Provided long-term corporate legal service for the operation of Mary Kay in China, one of the largest direct selling companies in the world.
Labor
- Provided special employment due diligence investigation and advised solutions for M&A or joint venture projects of many multinational companies in China;
- Advised and implemented stock incentive plans for several Global Fortune 500 conglomerates ;
- Advised a European chemical company in respect of setting up trade unions in seven subsidiaries in China;
- Advised employment matters in the post-acquisition integration for a U.S. automobile spare part manufacturer, who acquired a state-owned enterprise with 3,000 employees;
- Advised a European manufacturing enterprise in planning and implementing a massive lay-off plan involving 2,000 employees, without triggering any labor dispute.
Construction
- Provided full-service for MCC Capital Engineering & Research Incorporation Limited in the blast furnace project of PT. KRAKATAU STEEL (Persero) Tbk in Indonesia, with a project value more than USD 580 million;
- Provided full-services for many construction projects of industrial buildings by multinational companies, including land granting, bidding, construction contract and completion acceptance;
- Provided long-term legal support for several construction projects for CH2M, a prestigious construction service provider.
